The individual or entity completing this electronic contract ("Investor") whose full legal name, contact information, jurisdiction, and digital signature are recorded at execution. For investments of $50,000 or more, wire transfer instructions will be provided within 1 business hour to your registered email after contract execution. Please include your Contract Reference Number in the wire memo field.

Upon successful payment: (a) Stripe payment receipt emailed immediately; (b) Signed PDF contract copy emailed within 1 business hour; (c) Unique loan reference number issued for all correspondence. The 12-month term begins the next business day after confirmed fund receipt.

Name Century LLC commits to the following milestone schedule: April 2026 — S43 REST API live + S82 Lead Capture; May 2026 — S84 AI Email Sequences + S83 CRM Pipeline; June 2026 — S85 AI Proposal Builder + S79 Student Outcomes; July 2026 — S80 Faculty Profiles + S81 ADA Module (DEAC Phase 3 submission); August 2026 — S86 White-Label + S87 Analytics Dashboard; September 2026 — S88 Native App + S89 International Module.

Published projections ($3,293 Month 1 → $36,504 Month 6 → $897,196 Year 2 → $2.5M Year 3 at 90% net margin) are forward-looking management estimates and are not guaranteed. The fixed 5% per annum return is contractually guaranteed regardless of platform revenue performance.

Active loan investors receive quarterly progress reports via email covering: product launch milestones, DEAC accreditation status, MRR/ARR metrics, and financial statements. Reports are sent within 15 days of each quarter end.

Investor represents that: (a) they have full legal capacity to enter this agreement; (b) they are an accredited investor or qualify under applicable exemptions; (c) they have read and understand all terms herein in full; (d) they understand this is a loan instrument — not equity or a public securities offering; (e) all funds are from lawful sources and Investor complies with all applicable AML/KYC laws in their jurisdiction.

Name Century LLC represents: (a) it is a validly organized US LLC; (b) Thien Nguyen is a US Citizen duly authorized to execute this agreement as CEO; (c) ARD License 315124 is valid and in good standing with the California Bureau of Automotive Repair; (d) all platform information at auto.namecentury.com is accurate to management's best knowledge as of the contract date.

A default occurs if Name Century LLC fails to make a scheduled monthly payment within 15 calendar days of the due date without prior written notice to Investor. Upon an uncured default, the outstanding principal balance plus all accrued interest becomes immediately due and payable.

Name Century LLC has a 30-day cure period upon receiving written notice of default to remedy any payment deficiency. Investor agrees to provide written notice to before initiating any legal proceedings.

This Agreement is governed by the laws of the United States of America. Any disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules, seated in California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

The parties agree that electronic signatures provided through this platform constitute legally binding signatures under the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). The digital signature, timestamp, IP address, and contract reference number collectively constitute valid execution of this agreement.

This Agreement constitutes the entire agreement between the parties and supersedes all prior representations and understandings. Amendments must be in writing and signed by both parties.

Investor acknowledges the inherent risks of lending to an early-stage technology company. While the 5% return rate is contractually fixed, Investor should consult a licensed financial or legal advisor before investing. This document is not a solicitation to the general public and is restricted to accredited investors only.
